The financing included 7 million common shares priced at $2.50, alongside pre-funded warrants structured for certain investors at $2.499, which represents the per share public offering price for the common shares less the $0.001 per share exercise price for each pre-funded warrant.

All securities in the transaction were issued directly by the company, reinforcing its capital base as it advances the Autazes potash project in Brazil’s Amazonas region. The company confirmed that aggregate gross proceeds from the offering, including the full exercise of the option to purchase additional common shares, were approximately $63.3 million, before deducting underwriting discounts and commissions and other offering expenses. These funds are expected to support operational continuity, as Brazil Potash stated it “intends to use the net proceeds from the offering for working capital and other general corporate purposes.

The transaction was led by Canaccord Genuity Group Inc. as sole lead book-running manager, with Roth Capital Partners acting as joint book-runner. Additional support came from co-managers including ArcStone Kingswood, H.C. Wainwright & Co., LLC., and Titan Partners, a syndicate that reflects continued institutional alignment around critical mineral development.
From a regulatory standpoint, the company emphasized that the offering was made pursuant to a shelf registration statement on Form F-3, declared effective by the Securities and Exchange Commission (‘SEC’) on April 16, 2026, with final documentation publicly accessible via the U.S. Securities and Exchange Commission.
