Silvercorp Metals’s acquisition of Adventus Mining may face delays due to a lawsuit challenging the environmental permit for the El Domo copper-gold project in Ecuador.
In April, Silvercorp announced an all-stock deal valued at $147 million to acquire Adventus’ 75% interest in El Domo. However, this deal included a condition of no material adverse effects, and the potential cancellation of the environmental permit qualifies as such.
Open for discussion
Silvercorp emphasized its commitment to environmental compliance and stated, „We will continue to monitor and evaluate the litigation and its surrounding circumstances, and remain open to working cooperatively with Adventus to close the transaction if conditions are met.”
Silvercorp is willing to extend the deal’s closing deadline, initially set for July 31, demonstrating its flexibility and dedication to a responsible acquisition process.
Hard stance
Adventus, however, disagrees with Silvercorp’s interpretation that the legal challenge to the permit is an unmet condition for closing. The company reaffirmed its commitment to protecting shareholder interests and stated it would take necessary steps to uphold the arrangement.
„While discussions with Silvercorp may continue, Adventus reserves all rights if Silvercorp fails to close the arrangement as required by the agreement,” Adventus noted.
